OVERGEAR BONUS POLICY
1. General
1.1. These Overgear Bonus Policies (also referred to as 'OG Bonus Policy') determine the Overgear policy concerning the bonus system adopted for its Buyers (also referred to as 'Bonus System').
1.2. Capitalized terms, used herein but not defined, have the meaning ascribed to them in the Overgear Terms and Conditions, available at: https://info.overgear.com/legal/user-agreement (also referred to as 'Agreement').
1.3. In the event of any conflicts between the OG Bonus Policy and the Agreement, the OG Bonus Policy shall prevail.
1.4. Overgear may occasionally adopt additional terms and conditions for specific events within the framework of its Bonus System. In case of such an adoption, it will be displayed on the Overgear website or/and in a User's Overgear Profile. It is the Users' responsibility to familiarize themselves with any additional terms and conditions for individual terms of the Bonus System.
1.5. Even if one or more provisions of this OG Bonus Policy are held to be unenforceable, the remainder shall be valid and enforceable.
2. Definitions
2.1. The Bonus System is a set of circumstances under which the Buyers are provided with Overgear (OG) Coins.
2.2. A Bonus Account (also referred to as 'OG Coins Wallet') is a separate electronic account designed and created on the Platform for storing OG Coins used by a Buyer to purchase Seller Services and Goods in compliance with the OG Bonus Policy. The Bonus Account is automatically created and separate from the OG Wallet.
2.3 An Overgear Coin (also called 'OG Coin' or 'OG Coins') is a virtual unit provided to the Buyer in exceptional circumstances under the Bonus System for making payments to purchase Goods and Services on the Platform.
2.4. Overgear Cashback (also referred to as 'OG Cashback') is a reward provided to the Buyer as part of the Bonus System, earned through purchases of Seller Goods and Services on the Platform, and credited as OG Coins to the Buyer's Bonus Account. OG Cashback is awarded for orders of any type of Goods and applied to the total payment amount minus any discounts and payments made with OG Coins.
3. Bonus Account and OG Coins
3.1. Overgear automatically opens and maintains a Bonus Account for every User upon registration at the Platform as a Buyer. The Bonus Account is available in the Buyer's Profile.
3.2. The Buyer is entitled to accumulate OG Coins including OG Coins acquired as OG Cashback and use them for partial payment on the Platform under Section 4 hereof.
3.3. An OG Coin can be equivalent to 1 (one) US dollar or 1 (one) EUR, depending on the currency used by the Buyer in the Profile.
3.4. From time to time, Overgear may exercise, at its discretion, the right to set forth its internal exchange rate, under which the conversion of the Buyer's funds into OG Coins takes place. The change in the currency of the Buyer's Profile may affect the amount of their OG Coins in the Bonus Account. Suppose the Buyer changes the currency of OG Wallet for payment. In that case, the amount of OG Coins on their Bonus Account may increase or decrease respectively under the applicable Overgear exchange rate.
3.5 The Buyer is entitled to receive OG Coins when:
3.5.1 the Buyer transfers their funds into their OG Wallet in the amount depending on the transferred sum and its currency under the applicable exchange rate established independently by Overgear. For example, when the Buyer is willing to transfer $10 to OG Wallet, they may choose to deposit 10 OG Coins to the Bonus Account instead of transferring funds to OG Wallet, and
3.5.2.in other circumstances, such as promotional events, loyalty programs, including the OG Cashback for purchases with real money, or special offers, as determined by Overgear.
3.5.3.No OG Coins in the form of OG Cashback will be given for depositing real money to OG Wallet.
3.6. All Buyers start with 3% OG Cashback. This rate can rise to 5% for higher Buyers` grades.
4. Policy of OG Coins Usage by the Users
4.1. OG Coins are strictly for use within the Overgear Platform and cannot be refunded, exchanged for real money, or transferred to other Users.
4.2. The Buyer is entitled to use OG Coins to partially pay for the Goods and Services offered by the Seller on the Platform. At the same time, the limits of partial payment with OG Coins also depend on the type of Seller Goods and Services in question, namely:
4.2.1. The Buyer is entitled to pay 30% of the purchase price for the Goods and Services.
4.2.2. The Buyer is entitled to use the OG Coins in other ways prescribed explicitly on the Platform or mentioned herein.
4.3. The Buyer is not entitled to use the OG Coins to make purchases subject to discounts, sales, and other special offers.
4.4. The Buyer is not entitled to and agrees not to withdraw and transfer OG Coins from their Bonus Account except as expressly and exceptionally permitted by Overgear. OG Coins cannot be transferred to other Buyers' Bonus Accounts.
4.5. The Buyer shall use OG Coins under the OG Bonus Policy within 180 (one hundred eighty) calendar days from the date of being provided with them to the Bonus Account. Otherwise, OG Coins expire and are debited from the Bonus Account.
4.6. The Buyer unconditionally accepts the OG Bonus Policy mentioned herein by using OG Coins for partial payment.
5. Overgear rights regarding the Bonus System and OG Coins
5.1. Overgear is fully entitled to adopt specially designed conditions for OG Coins crediting to its Buyers considering the history of their transactions, the type of activity of the Buyer on the Platform, and the amount and frequency of their purchases.
5.2. At its discretion, Overgear is entitled to restrict, cancel, or deprive the Buyers of their OG Coins when:
5.2.1. The Buyer is suspected of fraudulent actions involving the usage of OG Coins for payment;
5.2.2.The Buyer violates the conditions of the OG Bonus Policy set forth herein;
5.2.3. The Buyer fails to submit any information/documents required by Overgear to verify the Buyer's identity;
5.2.4. The Buyer received OG Coins due to a technical error. At the same time, Overgear will reasonably endeavor to detect any errors and inform its Buyers as soon as reasonably practicable if they occur.
5.3. Users are entitled to appeal decisions regarding the restriction, cancellation, or limitation of OG Coins.
5.4. Overgear reserves the right to forfeit any OG Coins credited to the Buyer if the latter does not use them within the period specified herein.
5.5. Overgear's decisions concerning all aspects of the bonus system shall be final and binding upon its users.
5.6. Overgear is entitled to extend, prematurely withdraw, change, alter, or modify any part of this policy at its sole discretion at any time during the validity of the OG Bonus Policy as may be required given business exigencies, changes by regulatory authority, and statutory changes. Such extension shall be binding on the participants.
5.7. Overgear may terminate the Bonus System anytime without providing any reason or justification.

3.1. Overgear automatically opens and maintains a Bonus Account for every User upon registration at the Platform as a Buyer. The Bonus Account is available in the Buyer's Profile.
3.2. The Buyer is entitled to accumulate OG Coins including OG Coins acquired as OG Cashback and use them for partial payment on the Platform under Section 4 hereof.

4. Policy of OG Coins Usage by the Users
