OVERGEAR BONUS POLICY
1. General
1.1. These Overgear Bonus Policies (hereinafter - “OG Bonus Policy”) set forth the rules under which Overgear provides a bonus system (“Bonus System”) to its Buyers.
1.2. Capitalized terms, used herein but not defined, have the meaning ascribed to them in the Overgear Terms and Conditions (the “Agreement”).
1.3. In the event of any conflicts between the OG Bonus Policy and the Agreement, the OG Bonus Policy shall prevail solely with respect to matters concerning the Bonus System. All other provisions are subject to the Agreement.
1.4. Overgear may occasionally adopt additional terms and conditions for specific events or promotions within its Bonus System. In case of such an adoption, it will be displayed on the Overgear website or/and in a User's Overgear Profile. Users are responsible for familiarizing themselves with any additional provisions.
1.5. Should any provision of this OG Bonus Policy be held unenforceable, the remaining provisions shall remain valid and enforceable.
1.6. All issues not expressly addressed in this OG Bonus Policy (including but not limited to liability limitations, indemnifications, and dispute resolution) are governed by and subject to the Agreement.
1.7. This OG Bonus Policy is governed by and construed in accordance with the laws of the Republic of Cyprus. Any disputes arising out of or in connection with this OG Bonus Policy shall be resolved in accordance with the dispute resolution procedures set forth in the Agreement.
1.8. Nothing in this OG Bonus Policy shall limit or otherwise prejudice any non-waivable consumer rights granted under the laws of the Republic of Cyprus or the European Union. In the event of any conflict between this Policy and such mandatory consumer protection laws, those laws shall prevail.
1.9. If the law of a User’s country of residence mandates consumer protection more extensive than that of the Republic of Cyprus, the User may be entitled to such mandatory consumer protections as determined by applicable private international law. This OG Bonus Policy is not intended to restrict such inalienable rights
2. Definitions
2.1. Overgear Bonus System (also referred to as “Bonus System”) - a set of circumstances or programs under which the Buyers receive Overgear Coins (“OG Coins”).
2.2. Bonus Account (also referred to as “OG Coins Wallet”) - a separate electronic account designed and created on the Platform for each Buyer, dedicated to storing OG Coins used by a Buyer to purchase Seller Services and Goods in compliance with the OG Bonus Policy. The Bonus Account is automatically created and separate from the OG Wallet (fiat currency balance).
2.3 Overgear Coin (also called “OG Coin” or “OG Coins”) - a virtual unit provided to the Buyer under certain conditions of the Bonus System for making partial payments for Goods and Services on the Platform.
2.4. Overgear Cashback (also referred to as “OG Cashback”) - A reward granted to Buyers in the form of OG Coins for purchasing Goods and Services on the Platform. The awarded OG Coins are credited to the Buyer’s Bonus Account. OG Cashback is awarded for orders of any type of Goods and applied to the total payment amount minus any discounts and payments made with OG Coins.
2.5 Special Campaign (also referred to as “Campaign”) - a time-limited initiative introduced by Overgear and designed to boost User engagement, increase participation or achieve specific business objectives, such as increasing sales, User registrations, or retention. Once the Campaign ends, any associated provisions may no longer apply unless explicitly extended or modified by Overgear.
3. Bonus Account and OG Coins
3.1. Overgear automatically opens and maintains a Bonus Account for every User upon registration at the Platform as a Buyer. The Bonus Account is available in the Buyer's Profile.
3.2. The Buyer may accumulate OG Coins, including OG Coins acquired as OG Cashback and use them for partial payment on the Platform under Section 4 of this OG Bonus Policy.
3.3.By default,1 OG Coin is equivalent to 1 (one) US dollar or 1 (one) EUR, depending on the currency used by the Buyer in their Profile.
3.4. Overgear reserves the right, at its sole discretion, to establish an internal exchange rate at which a Buyer’s deposited funds may be converted into OG Coins. Changing a Profile’s currency may increase or decrease the Buyer’s OG Coins in the Bonus Account, based on the applicable Overgear exchange rate at the time..
3.5 Buyers may receive OG Coins under various circumstances, including but not limited to:
3.5.1 Top-Up Balance and Bonus: when a Buyer deposits funds (e.g., USD/EUR) into their OG Wallet, Overgear may, at its sole discretion, grant additional OG Coins as a bonus. The percentage or amount of OG Coins awarded may vary based on deposit size, currency, internal Overgear thresholds, or other factors determined solely by Overgear. Where applicable, a higher Rank may unlock increased bonus percentages for certain deposit thresholds. The specific deposit bonus rates by Rank are detailed at the https://loyalty.overgear.com/ranks. Overgear reserves the right to modify or discontinue any deposit-based bonus program at any time without prior notice.
3.5.2 Special Campaigns: Overgear may grant OG Coins for participation in campaigns aimed at enhancing user engagement or meeting business objectives.
3.5.3. Promotional Events and Loyalty Programs: This includes receiving OG Cashback for purchases made with real money or other promotions as determined by Overgear.
3.5.4. Other Circumstances: As solely determined by Overgear.
3.5.5. In addition to the deposit-related bonuses and OG Cashback described above, Overgear may also award OG Coins for other qualifying events, such as birthday rewards (“Birthday Points”), social media engagement, referral promotions, or writing verified reviews (e.g., on Trustpilot). The specific conditions and amounts for these bonuses may vary based on the User’s Rank or other factors determined solely by Overgear.
3.6. The Buyers are entitled to get OG Cashback, starting at a minimum rate of 1% (one percent). This rate increases progressively based on the Buyer’s Rank, up to a maximum of 5% (five percent). Because a Buyer’s Rank (and other relevant conditions) may change over time, the OG Cashback percentage shown at the moment of order placement is considered preliminary. The final OG Cashback rate is determined at the time the deal is completed. OG Cashback is calculated on the final purchase amount, minus any discounts or OG Coins applied.
4. Policy of OG Coins Usage by the Users
4.1. OG Coins are strictly for use within the Overgear Platform and cannot be refunded, exchanged for real money, or transferred to other Users.
4.2. The Buyer may use OG Coins to partially pay for the Goods and Services offered by the Seller on the Platform. At the same time, the limits of partial payment with OG Coins also depend on the type of Seller Goods and Services in question, namely:
4.2.1.The percentage of the purchase price for Goods and Services that a Buyer can pay using OG Coins ranges from 15% (fifteen percent) to 50% (fifty percent), depending on the Buyer’s Rank or other Overgear-defined conditions.
4.2.2. OG Coins may be used in other ways explicitly prescribed on the Platform or in the OG Bonus Policy.
4.3. The Buyer is not entitled to use the OG Coins to purchase items already subject to discounts, sales, or other special offers, unless Overgear explicitly allows it in specific promotions.
4.4. The Buyer is not entitled to and agrees not to withdraw and transfer OG Coins from their Bonus Account except as expressly and exceptionally permitted by Overgear. OG Coins cannot be transferred to other Buyers' Bonus Accounts.
4.5. OG Coins typically expire 180 (one hundred eighty) calendar days after they are credited to the Buyer’s Bonus Account if not used. However, certain Overgear promotions or specific conditions under which OG Coins are awarded may specify a shorter expiration period. Any OG Coins remaining unused after the applicable expiration period are forfeited and removed from the Buyer’s Bonus Account.
4.6. The Buyer unconditionally accepts the provisions of this OG Bonus Policy mentioned herein by using OG Coins for partial payment.
4.7. OG Coins do not constitute legal tender, have no inherent monetary value, and cannot be exchanged for fiat currency or other forms of payment outside the Overgear Platform. Buyers shall not be entitled to claim a cash refund or reimbursement for any unused OG Coins.
5. Overgear rights regarding the Bonus System and OG Coins
5.1. Overgear is fully entitled to adopt specially designed conditions for OG Coins crediting to its Buyers considering the history of their transactions, the type of activity of the Buyer on the Platform, and the amount and frequency of their purchases.
5.2. Overgear, at its sole discretion, is entitled to restrict, cancel, or deprive a Buyers OG Coins if:
5.2.1. The Buyer is suspected of fraudulent actions or abuse involving the usage of OG Coins for payment (e.g., exploiting bugs, artificially inflating usage);
5.2.2.The Buyer violates any provision of this OG Bonus Policy or other Overgear rules, terms, etc.;
5.2.3. The Buyer fails to submit any information/documents required by Overgear to verify the Buyer's identity (KYC);
5.2.4. The Buyer received OG Coins due to a technical error. At the same time, Overgear will reasonably endeavor to detect any errors and inform its Buyers as soon as reasonably practicable if they occur.
5.3. Users have the right to appeal any decision by Overgear regarding the restriction, cancellation, or limitation of OG Coins by contacting Customer Support. However, Overgear’s final determination shall be binding.
5.4. Overgear reserves the right to forfeit any OG Coins in the Buyer’s Bonus Account if they remain unused by the expiry date specified in Clause 4.5.
5.5. Overgear's decisions concerning all aspects of the Bonus System shall be final and binding upon all Users.
5.6. Overgear is entitled to extend, prematurely withdraw, change, alter, or modify any part of this OG Bonus Policy at its sole discretion as may be required given business exigencies, changes by regulatory authority, and statutory changes. Any changes take effect upon posting unless otherwise indicated.
5.7. Overgear may terminate the Bonus System anytime without providing any reason or justification. Users shall not be entitled to claim damages or compensation due to such termination.
5.8. Any amendments to this OG Bonus Policy will not have a retroactive effect on already credited and unexpired OG Coins or on rights a User has duly exercised before the effective date of such amendments, except where required by mandatory provisions of law.
5.9. Any liability of Overgear concerning the Bonus System (including the issuance, usage, or revocation of OG Coins) is governed by the limitation of liability clauses and exclusions set forth in the Agreement. Users acknowledge that Overgear shall not be liable for any indirect, incidental, or consequential damages arising out of or related to participation in the Bonus System.
6. Rank and Rank Benefits
6.1. Definitions
6.1.1. Rank (also referred to as “Rank”) - a tiered, non-transferable status assigned to a User based on Overgear’s proprietary evaluation of certain criteria, including but not limited to the User’s activity level, total purchases, interactions on the Platform, and other engagement metrics. Ranks are determined at Overgear’s discretion, typically based on the User’s total 365 (three hundred and sixty-five) days. These Ranks may be recalculated once every 24 (twenty-four) hours and displayed in the User’s Overgear Profile. For detailed information about current Rank thresholds, benefits, and how they are earned or lost, please refer to https://loyalty.overgear.com/ranks.
6.1.2. Rank Benefits - privileges and features associated with a specific Rank, intended solely for the User’s personal benefit. Rank Benefits are non-transferable, non-assignable, and may not be sold or gifted to any third party. An updated list of possible Rank Benefits, along with any relevant conditions, is available at https://loyalty.overgear.com/ranks.
6.2. Rank Benefits
6.2.1. Rank Benefits may include, but are not limited to, adjusted OG Cashback rates (ranging from 1% (one percent) to 5% (five percent)), the ability to pay up to 50% (fifty percent) of a purchase with OG Coins, priority access to limited-time offers, exclusive discounts, customizable bundles, priority order fulfillment or other enhancements as determined by Overgea. Certain Ranks may also allow Users to save chat sessions with boosters or enjoy other enhancements as determined by Overgear. The exact scope and value of such benefits, including any additional perks, are published at https://loyalty.overgear.com/ranks.
6.2.2 Certain Rank Benefits may require meeting specific eligibility conditions, may be time-limited, or be subject to additional terms and conditions as determined by Overgear. Overgear also reserves the right to announce special or promotional campaigns from time to time; the specific terms of such campaigns, including any temporary Rank modifications or bonus rewards, will be made available at the time of each announcement.
6.3. Restrictions
6.3.1. Users are prohibited from artificially or fraudulently influencing their Rank (e.g., via unauthorized multiple accounts, automated tools, or other deceptive practices). If Overgear detects such activity, it may revoke the User’s Rank, withdraw some or all Rank Benefits, and impose sanctions under the Agreement (including Profile termination).
6.4. Amendments and Termination
6.4.1. Overgear reserves the right to amend, modify, or update its Rank criteria and structure, as well as the nature, scope, and availability of Rank Benefits, at any time without prior notice. Such changes may be applied prospectively or retroactively at Overgear’s discretion.
6.4.2. Overgear reserves the right, at any time and for any reason, to adjust, suspend, or terminate Ranks or Rank Benefits in whole or in part at its sole discretion without prior notice. Users acknowledge and accept that Overgear’s determination shall be final, and Overgear shall not be liable for any losses resulting from such adjustments.
7. Special Campaigns
7.1 From time to time, Overgear may launch special campaigns or promotions. Each Special Campaign will operate solely during the timeframe and under the specific conditions set forth in its respective Overgear announcement. Overgear reserves the right to amend, terminate, or otherwise modify any Special Campaign at any time without prior notice.
7.2 In the event of any conflict between the provisions of a Special Campaign and the general terms of this Bonus Policy, the provisions of the Special Campaigns shall prevail for the duration of that Special Campaign.
7.3 Overgear shall not be held responsible for technical issues or interruptions preventing Users from earning or using OG Coins during Special Campaigns.
7.4 Overgear reserves the right to collect and analyze User data to assess the effectiveness in boosting engagement, sales, and User satisfaction during Special Campaigns. This data may include, but is not limited to, tracking User interactions, purchase history, and redemption patterns for OG Coins during Special Campaigns.

3.5.4. Other Circumstances: As solely determined by Overgear.
3.5.5. 5.2.3. The Buyer fails to submit any information/documents required by Overgear to verify the Buyer's identity (KYC);
5.2.4. The Buyer received OG Coins due to a technical error. At the same time, Overgear will reasonably endeavor to detect any errors and inform its Buyers as soon as reasonably practicable if they occur.
5.3. Users have the right to appeal any decision by Overgear regarding the restriction, cancellation, or limitation of OG Coins by contacting Customer Support. However, Overgear’s final determination shall be binding.
5.4. Overgear reserves the right to forfeit any OG Coins in the Buyer’s Bonus Account if they remain unused by the expiry date specified in Clause 4.5.
5.5. Overgear's decisions concerning all aspects of the Bonus System shall be final and binding upon all Users.

6.2.2 Certain Rank Benefits may require meeting specific eligibility conditions, may be time-limited, or be subject to additional terms and conditions as determined by Overgear. Overgear also reserves the right to announce special or promotional campaigns from time to time; the specific terms of such campaigns, including any temporary Rank modifications or bonus rewards, will be made available at the time of each announcement.
6.3. Restrictions
6.3.1. Users are prohibited from artificially or fraudulently influencing their Rank (e.g., via unauthorized multiple accounts, automated tools, or other deceptive practices). If Overgear detects such activity, it may revoke the User’s Rank, withdraw some or all Rank Benefits, and impose sanctions under the Agreement (including Profile termination).
6.4. Amendments and Termination
6.4.1. Overgear reserves the right to amend, modify, or update its Rank criteria and structure, as well as the nature, scope, and availability of Rank Benefits, at any time without prior notice. Such changes may be applied prospectively or retroactively at Overgear’s discretion.
6.4.2. Overgear reserves the right, at any time and for any reason, to adjust, suspend, or terminate Ranks or Rank Benefits in whole or in part at its sole discretion without prior notice. Users acknowledge and accept that Overgear’s determination shall be final, and Overgear shall not be liable for any losses resulting from such adjustments.
7. Special Campaigns
7.1 From time to time, Overgear may launch special campaigns or promotions. Each Special Campaign will operate solely during the timeframe and under the specific conditions set forth in its respective Overgear announcement. Overgear reserves the right to amend, terminate, or otherwise modify any Special Campaign at any time without prior notice.
7.2 In the event of any conflict between the provisions of a Special Campaign and the general terms of this Bonus Policy, the provisions of the Special Campaigns shall prevail for the duration of that Special Campaign.
7.3 Overgear shall not be held responsible for technical issues or interruptions preventing Users from earning or using OG Coins during Special Campaigns.
7.4 Overgear reserves the right to collect and analyze User data to assess the effectiveness in boosting engagement, sales, and User satisfaction during Special Campaigns. This data may include, but is not limited to, tracking User interactions, purchase history, and redemption patterns for OG Coins during Special Campaigns.
